General terms and conditions bol ecosystem

Article 1 – Definitions

  1. Advertiser(s): has the meaning given to it in Article 1 paragraph 5 of the Advertising Terms and Conditions for Advertising via bol.com.
  2. Advertiser API: the application programming interface for Advertisers, as further explained on api.bol.com.
  3. API’s: collectively, the Advertiser API and Retailer API.
  4. bol: the private limited company bol.com B.V. with its registered office in (3528 BJ) Utrecht, Papendorpseweg 100. Operating in the Netherlands under VAT number: NL 820471616B01 and Chamber of Commerce Utrecht number 32147382. Operating in Belgium under VAT and company number: BE0824148721.
  5. Service Provider: the legal entity offering services to Professional Sellers as described in these Terms and listed as such on the Partner Platform.
  6. Ecosystem Website: the website, where, per service type, the program requirements are stated that a Service Provider must comply with.
  7. Environment: bol.com, m.bol.com, e.bol.com, and any other application designated by bol.
  8. Partner Platform: the information platform of bol for Professional Sellers, where a Service Provider can offer its services to Professional Sellers.
  9. Retailer API: the application programming interface for Professional Sellers, as further explained at api.bol.com.
  10. Terms: these General terms and conditions bol ecosystem.
  11. Professional Seller(s): any natural or legal person who meets the requirements of Article 2 of the Conditions of Use Professional Sales via bol.

Article 2 – Applicability

  1. These Terms apply to any Service Provider authorized by bol to offer its services to Professional Seller(s) on the Partner Platform.
  2. Any Service Provider who wishes to offer its services to Professional Sellers on the Partner Platform accepts the applicability of these Terms.

Article 3 – Procedure and selection process

  1. The Service Provider offers services specifically for Professional Sellers. Bol provides space on the Partner Platform for the Service Provider to offer its services to Professional Sellers. After successfully completing the selection process as set out below, bol will include the information provided by the Service Provider about its services on the Partner Platform. Bol may decide not to make the page with information about the Service Provider’s services publicly discoverable, but to publish it as a so-called ‘hidden page’ accessible only via a direct link.
  2. Parties are only admitted as Service Providers after completing a selection process determined by bol, as announced on the Ecosystem Website, and upon acceptance by bol. The selection process may vary depending on the type of services offered and may be adjusted by bol from time to time. Bol may at any time, without stating reasons, set additional requirements for listing a Service Provider on the Partner Platform.
  3. The selection process serves to determine whether the Service Provider and its services meet a level determined by bol. The Service Provider acknowledges that bol does not exercise any control over or influence on the services offered by the Service Provider. Bol also accepts no responsibility for the services offered by the Service Provider to Professional Sellers.
  4. By agreeing to these Terms, the Service Provider acknowledges compliance with the program requirements. These requirements depend on the type of service the Service Provider offers to Professional Sellers. The program requirements applicable to the Service Provider’s service are listed on the Ecosystem Website.
  5. In addition to the program requirements, the Service Provider accepts the applicable information security requirements. Whether these requirements apply depends on the type of service the Service Provider offers to Professional Sellers. The applicable requirements, if any, are listed on the Ecosystem Website.
  6. Bol may adjust the requirements referred to in Articles 3.4 and 3.5 at any time. If the Service Provider does not comply with the amended requirements within a reasonable period set by bol, bol is free to remove the service(s) offered by the Service Provider from the Partner Platform.
  7. The Service Provider shall provide all information reasonably requested by bol as soon as possible, but no later than within five (5) working days.

Article 4 – Cooperation between Professional Sellers and Service Provider

  1. Professional Sellers independently decide whether to use the services of the Service Provider. Bol has no influence on the actual number of users of the services offered by the Service Provider.
  2. Bol does not act as an intermediary between the Service Provider and the Professional Sellers.
  3. The Service Provider acknowledges that if the Professional Seller decides to purchase the services of the Service Provider, an agreement is concluded between the Professional Seller and the Service Provider, in which bol is not and does not become a party.
  4. In case of questions and/or complaints about the Professional Seller, the Service Provider must always contact the relevant Professional Seller directly. The Service Provider acknowledges that in such cases, no recourse can be made to bol, and bol is in no way liable and/or obliged to pay damages.
  5. Bol is in no way obliged to assist the Service Provider in providing its services to Professional Sellers.
  6. Bol does not grant exclusivity to the Service Provider on the Partner Platform.
  7. Bol and the Service Provider do not owe each other any compensation for what is performed under these Terms.

Article 5 – Use of the APIs

  1. The Service Provider may, in providing its services, use the APIs offered by bol.
  2. Use of the Retailer API is subject to the ‘Retailer API Terms of Use’. By using the Retailer API, the Service Provider accepts the applicability of the Retailer API Terms of Use
  3. Use of the APIs is entirely at the Service Provider’s risk. Bol does not guarantee that the APIs operate without interruption, are free of errors and/or possess certain functionalities.
  4. Bol may at any time modify the (functionalities of the) APIs, even if this has (negative) consequences for the services offered by the Service Provider.

Article 6 – Guarantees and obligations

  1. Bol does not warrant the completeness, accuracy, or timeliness of the information it provides to the Service Provider, including all information provided on the Partner Platform and the Ecosystem Website. It is the responsibility of the Service Provider to interpret the information received from bol and to apply it correctly.
  2. The Service Provider represents and warrants that it is authorized to accept and comply with these Terms.
  3. The Service Provider warrants that:
    1. its services comply with applicable European, Dutch, and Belgian laws and regulations;
    2. the services it offers do not infringe any rights (including, but not limited to, intellectual property rights);
    3. the conduct of the Service Provider and/or the Service Provider’s services will not harm bol’s reputation and/or image or that of the Environment; and
    4. all information provided by the Service Provider is correct and complete.
  4. The Service Provider shall indemnify bol against all damages and/or costs (including third-party claims against bol) resulting from non-compliance with the warranties of this

Article. Article 7 – Privacy

  1. Where, in providing its services to Professional Sellers, the Service Provider processes personal data originating from or via the Environment, the Service Provider acts as a ‘processor’ within the meaning of the General Data Protection Regulation (GDPR), with the relevant Professional Seller acting as ‘controller’.
  2. The Service Provider shall process such personal data solely on the instructions of the Professional Seller and only insofar as necessary for the provision of the agreed services. The Service Provider is obliged to implement appropriate technical and organizational measures to protect such personal data against loss or any form of unlawful processing.
  3. The Service Provider shall enter into a data processing agreement with the Professional Seller, where and to the extent required under the GDPR. If the Service Provider transfers personal data outside the European Economic Area, it shall implement appropriate safeguards for such transfer in accordance with Chapter V GDPR, such as the conclusion of standard contractual clauses approved by the European Commission and the performance of a transfer risk assessment.
  4. In the event of a security incident or personal data breach that (may) concern personal data originating from or via the Environment, the Service Provider must notify the relevant Professional Seller and bol without delay, stating the nature of the incident, the data affected, the data subjects affected and the systems affected, as well as the measures taken and intended to mitigate the incident.

Article 8 – Liability

  1. The Service Provider shall fully indemnify bol for all damages and/or costs of any nature whatsoever arising from the non-performance of one or more obligations under these Terms. The Service Provider shall furthermore indemnify bol against all third-party claims resulting from the provision of its services (to such third parties).
  2. In performing its activities under these Terms, the Service Provider shall fully comply with all applicable (privacy) laws and regulations and shall indemnify bol for all damages and/or costs of any nature in that regard.
  3. Unless there is willful misconduct and/or gross negligence on the part of bol, bol shall not be in any way liable for any damages and/or costs of any nature suffered by the Service Provider in connection with the Service Provider’s offering of services on the Partner Platform and the use of the APIs, including—but not limited to—damages and costs resulting from the improper functioning of the Partner Platform and/or any of the APIs, technical failures, textual errors, etc.

Article 9 – Termination

  1. Bol is at all times free to remove the Service Provider’s services from the Partner Platform, stating reasons. This may be the case, for example, if bol suspects a breach of one or more applicable terms, the Service Provider no longer meets the selection criteria, there is fraud or a (potential) security risk, the Service Provider’s services no longer align with bol’s vision, there is an infringement of intellectual property rights of bol or third parties, the Service Provider is not or not timely reachable for bol, the services may, in bol’s opinion, be detrimental to bol’s or third parties’ good name, or bol wishes to organize its Partner Platform differently.
  2. If the Service Provider no longer wishes to offer its services to Professional Sellers via the Partner Platform, the Service Provider shall inform bol thereof, after which bol shall remove the Service Provider from the Partner Platform within a reasonable period but no later than two (2) months after receipt of the notice. During this period, the Service Provider shall continue to offer its services on the Partner Platform.

Article 10 – Miscellaneous

  1. The Service Provider hereby consents to bol publicly disclosing (a link to) the Service Provider’s website and contact details on the Partner Platform and providing them to Professional Sellers. Bol is also entitled to contact the Service Provider via these contact details in connection with (commercial) information from bol.
  2. The Service Provider hereby grants bol a non-exclusive, transferable license to use, reproduce, and publish, worldwide, the information obtained from the Service Provider, including its name and logo, on the Partner Platform and any other media on which bol promotes third-party services. The Service Provider warrants that it is authorized to grant this license (including, if applicable, a present grant of rights effective upon a future event).
  3. The Service Provider is not authorized to use bol’s names and/or logos and/or trademarks in any manner without prior written consent from bol. If the Service Provider wishes to use bol’s names and/or logos and/or trademarks, it shall observe the brand guidelines as communicated to the Service Provider and request prior consent from bol. Consent may be requested by sending an email, including the intended expression, to ecosystems@bol.com.
  4. Bol may amend these Terms at any time. The amended terms shall take effect from the moment they are sent to the Service Provider (by email). If the amended terms are not acceptable to the Service Provider, the Service Provider must terminate the cooperation with bol within thirty (30) days of receipt of the new terms, after which bol shall remove the Service Provider’s services from the Partner Platform in accordance with Article 9. During that period, the terms prior to the relevant amendment shall apply. If the Service Provider does not inform bol within thirty (30) days, the Service Provider thereby accepts the applicability of the amended terms.
  5. Parties are obliged towards each other to maintain mutual confidentiality of confidential business matters of which they become aware in the performance of the Terms. Confidential business matters include, in any event: financial and commercial information, technical information, strategic information, personal data, and all other information designated as confidential by a party or which the receiving party should reasonably understand to be of a confidential nature. This obligation continues after termination of the cooperation for a period of two (2) years, except insofar as it concerns information that has already become publicly known (other than as a result of a breach of the aforementioned duty of confidentiality).
  6. In the event of a discrepancy between these Terms in the English language and the Terms in the Dutch language, the Terms in the Dutch language will prevail.

Article 11 – Applicable law and court

  1. The Agreement and all legal relationships between the Parties connected therewith shall be governed exclusively by Dutch law.
  2. Any disputes arising from or relating to these Terms shall be submitted to the competent court of the District Court of Midden-Nederland (location Utrecht).
